Unless AgozTech, LLC or any of its affiliates (“Seller”), otherwise agrees in writing, the following Terms and Conditions (“T&Cs”) shall be applicable to all sales of all products and services to Buyer. Any terms and/or conditions different than, or in addition to, these T&Cs which may appear on any purchase order or other document furnished by Buyer, or which may be implied by trade, custom, practice, or course of dealing, are objected to and shall have no force and effect.
1 Definitions
- 1.1“Seller” refers to AgozTech, LLC, an industrial accessories wholesaler and its affiliates.
- 1.2“Buyer” refers to the entity or individual purchasing goods or services from the Seller.
- 1.3“Goods” refers to the products and/or services sold by the Seller to the Buyer.
- 1.4“T&Cs” refers to these Standard Terms and Conditions of Sale, as may be updated from time to time.
- 1.5“Order” refers to any purchase order or request placed by the Buyer for Goods from the Seller.
2 Orders
- 2.1All orders placed by the Buyer are subject to acceptance by the Seller at its sole discretion.
- 2.2Orders become binding only when confirmed in writing by the Seller (including via email or order confirmation).
- 2.3The Seller reserves the right to refuse, cancel, or limit any order at any time, including after an order has been confirmed, due to product unavailability, pricing errors, or suspected fraudulent activity.
- 2.4Buyers placing orders on behalf of a company represent and warrant that they have authority to bind that company to these T&Cs.
3 Price & Payment
- 3.1All prices are quoted in US Dollars (USD) and are subject to change without notice prior to order confirmation.
- 3.2Payment in full is required before the Seller ships any goods unless otherwise agreed in writing.
- 3.3The Seller will ship the goods upon receipt of full and confirmed payment.
- 3.4An invoice will be issued after payment has been received and confirmed.
- 3.5Accepted payment methods are as specified in the invoice or on the Seller’s website at the time of purchase.
- 3.6Prices do not include applicable taxes, duties, or shipping charges, which are the responsibility of the Buyer unless otherwise stated.
- 3.7In the event of a pricing error, the Seller reserves the right to cancel the order and issue a full refund.
4 Delivery
- 4.1Delivery dates provided by the Seller are estimates only and are not guaranteed.
- 4.2The Seller shall not be liable for any delays in delivery caused by carriers, customs, weather events, or any other circumstances beyond the Seller’s reasonable control.
- 4.3Risk of loss or damage to goods passes to the Buyer upon delivery to the carrier or, where applicable, upon delivery to the Buyer’s specified address.
- 4.4The Seller reserves the right to make partial deliveries, and each partial delivery shall be treated as a separate transaction.
- 4.5If the Buyer fails to accept delivery, the Seller may charge reasonable storage and re-delivery costs.
5 Inspection & Acceptance
- 5.1The Buyer must inspect all goods immediately upon delivery.
- 5.2Any claims for shortages, visible damage, or defects must be made in writing to the Seller within 14 days of the delivery date.
- 5.3Goods shall be deemed accepted and free of defects if no written claim is made within this 14-day inspection period.
- 5.4Photographic evidence of damaged or incorrect goods may be required to process a claim.
To report a delivery issue, contact us at info@agoztech.com within 14 days of receiving your order. Include your order number and photos of any damage.
6 Returns
- 6.1All returns must be authorized in advance by the Seller. Unauthorized returns will not be accepted.
- 6.2Returned goods must be in their original, unopened packaging and in the same condition as delivered.
- 6.3A restocking fee of 20% of the original purchase price may apply to all authorized returns.
- 6.4Return requests must be submitted within 30 days of the delivery date. Requests submitted after this period will not be accepted.
- 6.5The Buyer is responsible for all return shipping costs unless the return is due to a Seller error or defective goods.
- 6.6Refunds, if approved, will be issued to the original payment method within 10 business days of the Seller receiving and inspecting the returned goods.
- 6.7Custom orders, special orders, and clearance items are final sale and are not eligible for return.
7 Warranty
- 7.1The Seller warrants that goods are free from defects in material and workmanship for a period of 30 days from the date of delivery.
- 7.2In the event of a valid warranty claim, the Seller’s sole obligation shall be, at its discretion, to repair or replace the defective goods, or to issue a credit for the purchase price.
- 7.3The warranty does not cover damage resulting from misuse, accident, unauthorized modification, improper installation, or normal wear and tear.
- 7.4This warranty is the Seller’s sole warranty and is in lieu of all other warranties, express or implied, including any implied warranty of merchantability or fitness for a particular purpose.
- 7.5To make a warranty claim, the Buyer must contact the Seller in writing at info@agoztech.com within the warranty period, providing proof of purchase and a description of the defect.
8 Limitation of Liability
- 8.1To the fullest extent permitted by applicable law, the Seller shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or loss of data, arising out of or related to the sale of goods.
- 8.2The Seller’s maximum aggregate liability for any claim arising from or related to the sale of goods shall not exceed the total purchase price actually paid by the Buyer for the specific goods giving rise to the claim.
- 8.3The limitations set forth in this section apply regardless of the form of action, whether in contract, tort, strict liability, or otherwise, and even if the Seller has been advised of the possibility of such damages.
9 Force Majeure
- 9.1The Seller shall not be liable for any delay or failure to fulfill its obligations under these T&Cs due to events or circumstances beyond its reasonable control, including but not limited to: natural disasters, pandemics, acts of war or terrorism, government actions or embargoes, labor strikes or disputes, supply chain disruptions, or transportation delays.
- 9.2In the event of a force majeure event, the Seller will notify the Buyer as soon as practicable and will use reasonable efforts to minimize disruption.
- 9.3If a force majeure event persists for more than 60 days, either party may terminate the affected order without liability by providing written notice to the other party.
10 Intellectual Property
- 10.1All content on AgozTech’s website, including but not limited to text, images, graphics, logos, product photographs, and software, is the property of AgozTech, LLC or its licensors and is protected by applicable intellectual property laws.
- 10.2The Buyer is granted a limited, non-exclusive, non-transferable license to access and use the website solely for purchasing purposes. No other rights are granted.
- 10.3The Buyer shall not reproduce, distribute, modify, or create derivative works from any content on the website without prior written consent from the Seller.
- 10.4Product names, trademarks, and brand names referenced on the website remain the property of their respective owners. No license or right to use such marks is granted by these T&Cs.
11 Dispute Resolution
- 11.1In the event of a dispute arising from or related to these T&Cs or the sale of goods, the parties agree to first attempt to resolve the dispute through good-faith negotiation within 30 days of written notice of the dispute.
- 11.2If the dispute cannot be resolved through negotiation, the parties agree to submit the dispute to non-binding mediation before pursuing litigation, with the cost of mediation shared equally between the parties.
- 11.3If mediation is unsuccessful, the dispute shall be resolved exclusively in the state or federal courts located in North Carolina, USA, as specified in Section 12.

12 Governing Law
- 12.1These Terms and Conditions are governed by and construed in accordance with the laws of the State of North Carolina, USA, without regard to its conflict of law principles.
- 12.2Any legal disputes or proceedings arising from or related to the sale of goods or these T&Cs shall be brought exclusively in the state or federal courts of competent jurisdiction located in North Carolina, USA.
- 12.3Both parties irrevocably consent to the personal jurisdiction of such courts and waive any objection to venue in such courts.
13 Confidentiality
- 13.1Both the Seller and the Buyer agree to keep confidential any proprietary or sensitive information disclosed by the other party during the course of business dealings, and not to disclose such information to third parties without prior written consent.
- 13.2This obligation of confidentiality does not apply to information that is publicly available, already known to the receiving party, or required to be disclosed by law or court order.
- 13.3The confidentiality obligations under this section shall survive the termination or expiration of any agreement between the parties for a period of 3 years.
14 Entire Agreement
- 14.1These Terms and Conditions, together with any written order confirmation issued by the Seller, constitute the entire agreement between the Seller and the Buyer with respect to the sale of goods, and supersede all prior agreements, understandings, negotiations, and representations.
- 14.2Any amendments, modifications, or additions to these T&Cs must be made in writing and signed by authorized representatives of both parties to be effective.
15 Severability
- 15.1If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable under applicable law, that provision shall be deemed modified to the minimum extent necessary to make it enforceable, or if not possible, severed from these T&Cs.
- 15.2The invalidity or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect.
16 Waiver
- 16.1The failure of either party to enforce any provision of these Terms and Conditions at any time shall not constitute or be construed as a waiver of that provision or of the right to enforce it at a later date.
- 16.2No waiver of any breach shall be deemed a waiver of any subsequent breach of the same or any other provision.
- 16.3Any waiver must be expressly made in writing and signed by the waiving party to be effective.
By purchasing from AgozTech, LLC, the Buyer acknowledges that they have read, understood, and agree to be bound by these Terms & Conditions of Sale.
